PGMotive Terms
Terms of Service
These terms describe the conditions for using PGMotive's website, technology services, software products, mobile applications, and digital content.
1. Our services and the scope of these terms
PGMotive provides IT consulting and support, website and web application development, mobile application development, software integration, automation, cloud infrastructure, and related maintenance services. We also develop and operate our own applications, software platforms, and digital content, including online media channels.
These terms apply to our general website and services that reference them. A signed agreement, accepted proposal, or statement of work governs the client project it covers and takes precedence if it conflicts with these general terms. Product-specific terms govern the corresponding application. For example, Mingo has its own Terms of Service and Privacy Policy.
2. Acceptance and eligibility
By using services offered under these terms, you agree to them. If you do not agree, do not use those services. You must have the legal capacity to enter an agreement with us or the authorization required by applicable law. If acting for a business, you must be authorized to bind it and to provide access to its systems and materials.
Individual applications may have additional eligibility requirements, including minimum ages, stated in their own terms. Business engagements and tools for administering systems or media channels are intended for authorized adult users.
3. Client projects and service delivery
Project scope, deliverables, schedules, acceptance criteria, revisions, support, and maintenance commitments are set out in the applicable proposal or agreement. A general description on this website does not commit PGMotive to deliver a particular feature or provide ongoing support without an agreement.
Clients must provide accurate requirements, timely feedback, necessary materials, and authorized access. Changes in scope, dependencies, or approvals may affect cost and delivery dates; revised commitments must be agreed upon. Hosting, domain registration, third-party licenses, and maintenance are included only when identified in the agreed scope.
4. Fees, billing, and cancellation
Prices, deposits, payment deadlines, taxes, recurring charges, cancellation terms, and any refund arrangements are specified in the relevant agreement, order, or product purchase screen. These terms alone do not enroll you in a paid service or subscription. Application purchases may also be subject to the applicable app store's purchase and refund rules.
Contact us about billing questions or a proposed cancellation. Nothing here removes a cancellation, refund, or other consumer right required by applicable law.
5. Accounts, access, and client responsibilities
Where a service uses an account, keep your information accurate, protect its credentials, and report suspected unauthorized activity promptly. Provide access only to systems, accounts, data, and content you are entitled to manage, limited to what the agreed service requires.
Keep copies of materials you provide and confirm backup and recovery responsibilities in your service agreement. You remain responsible for business decisions, approvals, and instructions you give us. PGMotive remains responsible for its own contractual and legal obligations.
6. Applications and third-party services
PGMotive applications may have their own accounts, permissions, features, support channels, and purchase terms. Review the terms and privacy notice for the specific product. Downloading one application does not grant access to another product or a client's systems.
Services may depend on hosting providers, app stores, software components, payment services, or external APIs. Their applicable terms and licenses also apply to your use of those services. Changes, outages, or restrictions outside PGMotive's control may affect availability or require changes to an integration.
7. Intellectual property and client materials
Each party retains its rights in its pre-existing materials, software, branding, and know-how. Ownership, licensing, and delivery of custom project work, including source code, are determined by the project agreement. Third-party and open-source components remain subject to their own licenses.
You retain your rights in materials you provide and authorize us to use, process, reproduce, and transmit them only as needed to perform the agreed services. You must hold the necessary rights and permissions. This permission does not authorize unrelated use of personal information or connected account data.
PGMotive's own website, products, and original content belong to PGMotive or its licensors. Access does not transfer ownership or grant an unrestricted right to redistribute them.
8. Confidentiality and personal information
Non-public project information, credentials, and materials shared for an engagement must be used only for that engagement and protected from unauthorized disclosure. Access may be given to personnel and providers who need it for the work and are subject to appropriate confidentiality obligations, or as required by law. An applicable confidentiality or data processing agreement may add requirements.
Our Privacy Policy describes our handling of personal information. When we process end-user data on a client's behalf, the client must have authority to provide that data, and we follow the agreed instructions and applicable data protection duties.
9. Acceptable use
- Do not use our services for unlawful activity, fraud, infringement, harassment, or impersonation.
- Do not introduce malware, steal credentials, or access systems or personal information without permission.
- Do not disrupt services, bypass access controls, evade platform limits, or send abusive automated requests.
- Do not provide materials you have no right to use or instruct us to violate another person's rights.
- Follow connected platforms' rules, including restrictions on spam and artificial engagement.
10. Google and YouTube integrations
As part of our digital content operations, PGMotive uses YouTube API Services to upload and schedule videos on its channels, including NutriSecretos. These tools are limited to authorized operators. By using the YouTube integration, you also agree to the YouTube Terms of Service. Google handles information under the Google Privacy Policy.
Before connecting an account, review and accept these terms and our Privacy Policy. Connect only accounts you may manage, and approve the intended channel, content, visibility, and schedule before execution. Google authorization permits only the operations you approve and does not transfer channel ownership. PGMotive does not request your Google password or claim endorsement by Google or YouTube.
You can revoke access through your Google account permissions and request deletion using our privacy instructions. Disconnection does not undo completed uploads or cancel publication schedules already submitted to YouTube; review those in YouTube Studio.
11. Digital content
Our websites, applications, and media channels may publish informational or educational content. Such content does not create a client relationship or replace advice tailored to a particular situation. We do not promise a particular audience, revenue, ranking, or other commercial result from use of our content or tools.
12. Availability and limitations
Except for commitments in an applicable agreement or required by law, services are provided as available. We cannot guarantee uninterrupted operation, compatibility with every device or external service, or the absence of all errors and security risks. Agreed warranties, support arrangements, and service levels remain in effect.
To the extent allowed by law and subject to an applicable service agreement, PGMotive excludes implied warranties and liability for indirect or consequential losses. Nothing here excludes liability that cannot lawfully be excluded or limits mandatory consumer rights.
13. Suspension and termination
You may stop using our website or request that a connected service be discontinued. Project cancellations and account closure follow the applicable agreement or product terms. PGMotive may restrict access when reasonably necessary to address misuse, a security incident, loss of authorization, or a legal requirement, with notice where appropriate and permitted.
Termination does not cancel amounts already due, agreed handover obligations, or provisions intended to continue, such as confidentiality and ownership. Personal information is handled under the applicable privacy notice and data processing agreement.
14. Changes and applicable rights
We may update these terms as our business changes. We identify the current version above, provide reasonable notice of material changes, and obtain renewed agreement where required. A website update does not amend a signed project agreement without following its amendment provisions.
Applicable law and any valid governing-law provision in your service agreement determine the rights and obligations for an engagement. These general terms do not designate an exclusive court or waive rights that cannot legally be waived.
